Scope and Definitions ------------------------ ### 1.1 Applicability These Terms of Service (“ToS”) govern the purchase and use of digital products (extensions, modules, and plugins for TYPO3 systems) offered by b13 GmbH (“b13”, “Vendor”, “we”, “us”) via our digital products shop. ### 1.2 Definitions - **Products**: Digital TYPO3 extensions, modules, and plugins offered for purchase (e.g., “Descriptive Images”, “Managing Editor”, “Single-Sign-On”, “Reminders”, “Hreflang Multisite Module”). - **Subscription**: An annual subscription to one or more Products, automatically renewing unless cancelled by the Customer. - **Customer**: Any individual or legal entity purchasing Products via the shop (you, your). - **Merchant of Record (MoR)**: Paddle.com, Inc. (“Paddle”), which acts as the legal seller of all Products. Paddle handles payment processing, tax collection, invoicing, and refund administration. b13 is the product vendor. - **License**: The non-exclusive, limited right granted to the Customer to use the Product according to these Terms. - **Effective Date**: The date of the purchase transaction processed by Paddle. ### 1.3 Merchant of Record Notice All sales of Products are processed by **Paddle.com, Inc.**, which acts as the Merchant of Record. This means: - Paddle is the legal seller and invoicing party. - Paddle collects and remits taxes (VAT, sales tax, etc.) on behalf of b13. - Paddle handles all payment processing and invoicing. - Refund requests are processed by Paddle in accordance with these Terms and applicable law. For payment-related inquiries, billing questions, or refund processing, you may contact Paddle directly or through our support channels. 2. Contract Formation and Order Process --------------------------------------- ### 2.1 Offer and Acceptance The display of Products on the shop website constitutes an invitation to purchase. Your order to purchase a Product constitutes an offer to enter into a contract. We (through Paddle as MoR) accept your offer when we confirm the transaction and you receive an order confirmation from Paddle. ### 2.2 Order Process 1. You select one or more Products and add them to your cart. 2. You enter your billing and shipping information (for email delivery and subscription management). 3. You review and accept these Terms of Service. 4. Paddle processes your payment information and completes the transaction. 5. Upon successful payment, the contract becomes binding, and you receive a confirmation email with your license details and download/access instructions. ### 2.3 Language These Terms are available in English and German. In the event of any conflict between language versions, the **German** version shall prevail. ### 2.4 Availability We reserve the right to discontinue or modify Products, features, or shop offerings without prior notice. Existing Subscriptions will not be affected by such changes unless explicitly stated otherwise. 3. Prices and Payment --------------------- ### 3.1 Pricing All prices displayed on the shop are in EUR and include applicable VAT at the rate legally applicable in your jurisdiction. The final price you pay is determined by Paddle based on your billing address and VAT rules. ### 3.2 Payment Terms - Payment is processed exclusively by Paddle.com via their secure payment gateway. - Paddle accepts major credit cards, bank transfers, and other payment methods available on their platform. - Payment is due immediately upon order placement. The subscription is activated only after successful payment confirmation. ### 3.3 Subscription Renewal Unless you cancel your Subscription, Paddle will automatically renew your Subscription on the anniversary of your purchase date. You will be invoiced annually for the next subscription period. Renewal terms are identical to the original subscription terms. ### 3.4 Price Changes We may change Product prices at any time. Price changes apply only to new orders or renewals, not to existing active Subscriptions (unless otherwise required by law). 4. Delivery of Digital Products ------------------------------- ### 4.1 Delivery Method Products are digital goods delivered immediately upon purchase confirmation. There is no physical shipment. ### 4.2 Delivery Details - You will receive an email containing download links and/or access instructions immediately after payment confirmation. - License keys and activation credentials (if applicable) will be provided in the confirmation email or via your account dashboard. - You are responsible for maintaining the confidentiality of your license keys and login credentials. ### 4.3 System Requirements You are responsible for ensuring your system meets the minimum requirements for the Product (TYPO3 version, server environment, PHP version, etc.). These requirements are listed on the Product description page. We recommend reviewing these requirements before purchase. ### 4.4 Delivery Failure If you do not receive your download link or access credentials within 24 hours, please contact our support team at info@b13.com. We will resend your credentials or investigate the issue. 5. Right of Withdrawal and Cancellation --------------------------------------- ### 5.1 Right of Withdrawal (Widerrufsrecht) – EU/German Law Under EU law (Consumer Rights Directive 2011/83/EU) and German law (Fernabsatzgesetz), you have a 14-day right to cancel your purchase without providing a reason. **However**, for digital products, **the right of withdrawal is forfeit** once you have: 1. Received the Product (download link, license key, access credentials), **and** 2. Explicitly agreed that your right of withdrawal expires upon receipt and the commencement of product use. This forfeiture applies when you confirm your purchase by clicking “Accept Terms” and “Complete Purchase” before accessing the Product. **Electronic Withdrawal Button (§ 356a BGB)** In addition to the options above, you may exercise your right of withdrawal electronically at any time by using the clearly labelled “Withdraw from contract” button in your customer account dashboard or during the checkout process. Paddle will process any applicable refund to your original payment method within 30 days of our withdrawal confirmation. ### 5.3 Subscription Cancellation You may cancel your annual Subscription at any time via your account dashboard or by contacting support at info@b13.com. Cancellation takes effect at the end of your current subscription period. No prorated refunds are offered for mid-period cancellations. Upon cancellation, you retain license rights until the subscription end date, after which access is terminated. ### 5.4 Refund Processing Refunds are processed by Paddle and may take 5–10 business days to appear in your account, depending on your bank. 6. License Terms and Use ------------------------ ### 6.1 License Grant b13 grants you a personal, non-exclusive, non-transferable, limited license to: \- Install and use the Product on websites you own or operate. \- Use the Product for the duration of your active Subscription. ### 6.2 License Scope **Per-Project/Per-Domain License**: Unless explicitly stated otherwise, each Product license grants usage rights for **one (1) production website/domain** or a fixed number of domains as specified in the Product description. For multiple websites, you must purchase a separate license for each. Development and staging environments are included with your license at no additional cost. ### 6.3 Permitted Use You may: \- Install the Product on your own server or hosting environment. \- Use the Product in accordance with the TYPO3 system and our documentation. \- Make necessary backup copies. \- Test the Product on non-production environments (staging, development). ### 6.4 Prohibited Use You may **not**: \- Resell, redistribute, or sublicense the Product. \- Remove, alter, or obscure proprietary notices or license notices. \- Reverse-engineer, decompile, or attempt to extract the source code. \- Use the Product on multiple production domains beyond your license scope. \- Offer the Product as a managed service or SaaS to third parties. \- Transfer your license to another person or entity without written consent from b13. ### 6.5 License Termination Upon expiration or cancellation of your Subscription: \- Your license to use the Product immediately terminates. \- You must cease use of the Product and remove it from your website. \- You must uninstall the Product from your server. Continued use after subscription termination is a breach of these Terms and may result in legal action. ### 6.6 License Modifications b13 may update, modify, or improve the Product at any time. Updates are provided at no additional cost during your active Subscription. Updates may require reinstallation or configuration changes on your part. 7. Intellectual Property ------------------------ ### 7.1 Ownership All Products, including code, design, documentation, trademarks, and intellectual property, are owned exclusively by b13 or its licensors. Your Subscription grants you a license only; you do not own the Product. ### 7.2 Feedback Any feedback, suggestions, or improvements you provide regarding the Product may be used by b13 without restriction or compensation. ### 7.3 Third-Party Materials The Product may include third-party libraries, components, or materials licensed under open-source licenses. Details of such licenses are included in the Product documentation. Your use of such materials is subject to their respective licenses. 8. Warranty ----------- ### 8.1 Statutory Conformity Guarantee for Digital Content Pursuant to §§ 327a et seq. of the German Civil Code (BGB), we warrant that the digital Products comply with the statutory requirements for conformity (subjective and objective conformity) for a period of two years from delivery. This includes providing the necessary updates (including security updates) during your active Subscription to keep the Product in conformity. The Products are otherwise provided “as is” and “as available”, subject to the statutory conformity guarantee above and the limitations set out in this section. ### 8.2 No Further Warranty b13 makes no further warranties, express or implied, including: \- Fitness for a particular purpose. \- Merchantability. \- Non-infringement of third-party rights. \- Uninterrupted operation or error-free performance. ### 8.3 Disclaimer for Third-Party Systems b13 does not warrant compatibility with all TYPO3 versions, hosting environments, or server configurations. You are responsible for verifying compatibility before purchase. 9. Limitation of Liability -------------------------- ### 9.1 Limitation To the maximum extent permitted by law, b13’s total liability for any claims, damages, or losses arising from your use of the Product shall not exceed the amount you paid for the Product in the 12 months preceding the claim. ### 9.2 Excluded Damages b13 is not liable for: \- Lost profits, data, business interruption, or revenue. \- Indirect, incidental, consequential, or punitive damages. \- Third-party claims arising from your use of the Product. \- Damages resulting from your failure to meet system requirements or follow documentation. ### 9.3 Exceptions The limitations in this section do not apply to: \- Personal injury or death caused by b13’s negligence. \- Fraud or willful misconduct. \- Liability that cannot be excluded under applicable law. 10. Support and Maintenance --------------------------- ### 10.1 Support Scope b13 provides support for: \- Technical issues and bugs in the Product. \- Installation and configuration guidance. \- Documentation updates and fixes. Support inquiries may be submitted to info@b13.com. Response times are reasonable but not guaranteed. ### 10.2 No Obligation to Maintain b13 has no obligation to: \- Maintain or update the Product beyond the subscription period. \- Provide backwards compatibility with future TYPO3 versions. \- Support custom modifications you make to the Product code. ### 10.3 Security and Updates b13 will issue security patches for critical vulnerabilities affecting the Product. Updates are provided at no cost during your active Subscription. 11. Subscription Management --------------------------- ### 11.1 Subscription Period Your Subscription is for a term of one (1) year from the Effective Date. At the end of each term, the Subscription automatically renews for an additional one-year period unless cancelled. ### 11.2 Automatic Renewal You authorize Paddle to automatically charge your payment method on each renewal date. Renewal reminders will be sent to the email address on your account at least 14 days before the renewal date. ### 11.3 Cancellation You may cancel your Subscription: \- Via your account dashboard (if available). \- By emailing info@b13.com with your order number and cancellation request. Cancellation takes effect at the end of your current subscription period. No partial refunds are provided. ### 11.4 Suspension b13 may suspend your Subscription if: \- You violate these Terms (including prohibited use or license breach). \- Your account has outstanding payment issues. \- We receive a legal complaint regarding your use of the Product. We will notify you of suspension and provide an opportunity to remedy the issue within 14 days. 12. Data Protection ------------------- Your personal data is processed in accordance with our Privacy Policy and the EU General Data Protection Regulation (GDPR). Applicable Law and Dispute Resolution ----------------------------------------- ### 13.1 Governing Law These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to conflicts of law principles. The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded. ### 13.2 Jurisdiction Both parties agree to submit to the exclusive jurisdiction of the courts in Stuttgart, Germany. Severability ---------------- If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid, or if such modification is not possible, the provision shall be severed. The remaining provisions shall remain in full force and effect. 15. Amendment of Terms ---------------------- ### 15.1 Right to Amend b13 reserves the right to modify these Terms at any time. Material changes will be communicated to you via email at least 30 days in advance. ### 15.2 Acceptance of Amendments If you do not agree with amendments to these Terms, you may cancel your Subscription within the notice period. Continued use of the Product after the amendment effective date constitutes your acceptance of the new Terms. ### 15.3 Effective Date of Amendments Amendments take effect on the date specified in the notice. Existing Subscriptions are not affected unless the amendment is legally required or you expressly agree. 16. Final Provisions -------------------- ### 17.1 Entire Agreement These Terms, together with our Privacy Policy and any Product-specific terms, constitute the entire agreement between you and b13 regarding the purchase and use of our Products. They supersede all prior agreements, understandings, and negotiations. ### 17.2 No Waiver Our failure to enforce any right or provision does not constitute a waiver of that right or provision. ### 17.3 Assignment You may not assign or transfer your rights or obligations under these Terms without b13’s written consent. b13 may assign these Terms to any successor or affiliate at its sole discretion.
